1. What the Project Exchange is

The C700K Project Exchange is a curated noticeboard where selected businesses, brands and projects are presented for possible acquisition, investment, joint venture, strategic partnership, co-development or licensing. It is operated by C700K Capital ("C700K", "we").

The Project Exchange is an introduction service only. C700K is not a broker, exchange, bank or licensed financial services provider for the purposes of these listings, does not hold funds, and does not accept payments, deposits or investments through this website.

2. Types of opportunity

Each listing states the type of opportunity and, where known, the proposed structure. These are different things:

• Share sale — the buyer acquires shares in the company that owns the business, together with its assets and liabilities.
• Asset sale / project sale — the buyer acquires specific assets (for example a brand, equipment, stock or intellectual property), not the company itself.
• Investment — capital is provided to a business or project in exchange for equity, a loan or another agreed instrument. No return is promised.
• Joint venture or partnership — parties combine resources under an agreed arrangement without one party buying the other.
• Licensing / IP transfer — rights to use or own a concept, brand or other intellectual property.

The final structure of any transaction is determined only by signed legal agreements.

3. No guarantee or endorsement

Listings are prepared from information supplied by project owners. Unless expressly stated, it has not been independently verified. Publication of a listing does not mean that C700K guarantees, endorses, verifies or recommends the project, its owners, its performance, its valuation or any outcome. Listings are not described as "verified", "profitable" or "guaranteed" unless that has been substantiated.

Prices and funding targets are indicative and shown only where the owner has approved publication. They are not offers capable of acceptance.

4. Investment opportunities

Nothing on the Project Exchange is an offer to the public to subscribe for or purchase securities or any other investment. Investment-related listings are invitations to start a private discussion with suitably qualified parties. Any investment is subject to eligibility, due diligence, applicable law (including any offering, marketing and disclosure requirements in the relevant jurisdictions) and formal documentation. Investments carry risk, including the possible loss of capital.

5. Your responsibilities

Buyers, investors and partners must carry out their own due diligence and obtain independent legal, financial and tax advice before entering into any agreement. Project owners confirm that they own, or are authorised to offer, what they submit and that the information provided is accurate and not misleading.

6. Submissions and publication

Submitting a project does not guarantee that it will be listed. Every submission is reviewed and nothing is published without approval. C700K may decline, edit (with the owner's agreement), suspend or remove any listing at any time, and may mark listings as sold, closed or unavailable.

7. Confidential information

Please do not submit confidential information, passwords, bank details or identity numbers through the website. Where further information is appropriate, it will be shared directly between the relevant parties, normally under a confidentiality agreement.

8. Privacy

When you send an enquiry or submit a project, we receive the details you provide (such as your name, email, telephone number, country, organisation and message). We use them only to review your enquiry or submission, to contact you about it and, with the owner's agreement, to introduce interested parties. We do not sell your information. Form submissions are delivered to C700K by email through our website platform (Shopify).

You may ask us to access, correct or delete your information, or object to its use, by contacting us through the contact page. We process personal information in line with applicable data-protection law, including South Africa's Protection of Personal Information Act (POPIA).

9. Fees

Any fee for listing or introduction services will be agreed in writing in advance. No fee is charged for viewing listings or sending an enquiry.

10. Liability

To the extent permitted by law, C700K is not liable for any loss arising from reliance on listing information or from any transaction or relationship between users of the Project Exchange.
